Because XP-mode for VirtualPC is a Microsoft offered feature of Windows 7 Pro, Ultimate, and Enterprise versions, a Windows XP license is not required. To run XP in a third-party Virtual machine, for example VirtualBox, requires an XP license (as well as your Win7 license).
