What's the best thing to tell them. MOBO bad, hard drive, cpu quit you...

Have you tried yet? Unless you made enough hardware changes ("Upgrades") it
will activate without a problem. Microsoft used to only keep a record of the
last activation for 120 days; haven't seen any change to that.

Activated without problem. I am using a upgrade version and I guess it is
consided a full version.

The Upgrade version can work the same as a full version:
1. Install it twice, activate on the second installation.
2. Install it without entering key. Reboot and activate it by entering your
key.

You can install it on a new, unformatted disk using one of those.

Why ? Bin round a long time and no one has ever really complained, and if
they had a valid reason, I saw the light. If someone has nothing better
to do than complain about such a minor thing it's not my problem but
theirs.
